Who these terms are between

These terms are between you (the client) and M4B1 For Computer Systems & Communication Equipment Software Design, trading as M4B1, of Dubai, United Arab Emirates.

What the setup fee covers

• Writing the pages, based on what you supply and the questions I ask.
• Designing and building the site, up to the number of pages in the plan you chose.
• Two rounds of changes before the site goes live. A round is one consolidated list from you, not a series of individual messages.
• Setting up hosting, the domain and the SSL certificate.
• Putting the site live and checking it works.

It does not cover photography, videography, logo design, copy in a language other than the one quoted, content migration from a large existing site, or integration with third-party systems. Any of those can be quoted separately.

A content change means editing text, a price, a photograph, opening hours, a menu item or a team member. Unused changes do not roll over into the following month.

A new page, a new form, a structural change or a redesign is not a content change. Those are quoted hourly and I tell you the number before starting. No work outside the monthly fee is ever carried out without you agreeing to a figure first.

What you need to provide

The seven-day build time runs from the point I have what I need: your content, photographs, menu or price list, and answers to the questions I send. If those arrive in stages, the clock starts when the last of them does.

You confirm that you have the right to use everything you send me — photographs, logos, text and any material belonging to somebody else. I rely on that, and I am not responsible for a claim arising from material you supplied.

Who owns what

• You own the domain. It is registered in your name or your business’s name, not mine.
• You own your content: your text, photographs, menus, prices and logo.
• You own the site files once the setup fee is paid in full, and you can take them elsewhere at any point.
• I keep the right to show the finished site as an example of my work, and to describe the project publicly. If you would rather I did not, say so and I will not.
• Third-party components — the open-source framework the site is built with, and any fonts — remain under their own licences, which permit this use.

Payment

• The setup fee is split in two: half before work starts, half when the site goes live.
• The monthly fee is billed monthly in advance, starting the month the site goes live.
• Invoices are payable within 14 days.
• Payment is by bank transfer, by Wise, or by card through a payment link.
• Invoices are issued in US dollars unless you ask for UAE dirhams.
• UAE clients are invoiced with VAT at the applicable rate. The treatment of services supplied outside the UAE is confirmed with my accountant and shown on the invoice.

If an invoice is more than 30 days overdue I will contact you before doing anything else. I will not take a live site offline without written notice and a reasonable opportunity to settle.

Cancelling

There is no minimum term. Either of us can end the monthly arrangement with one month’s written notice.

On cancellation I export the site files and hand them to you, transfer the domain into your control, and help you move to another host. That handover is included and is not charged for. Any monthly fee already paid for the notice period is not refunded, and any work already done is payable.

If you cancel during a build, the first half of the setup fee is not refunded, and you receive whatever has been built by that point.

What I do not do

I build and maintain marketing websites. I do not build online shops with payments, booking systems that take money, customer logins, or mobile applications. I do not run advertising campaigns and I do not guarantee search rankings, because nobody can.

If your project needs any of those, I will tell you in the first reply rather than take a deposit and discover it later.

Availability and limits of liability

I use established hosting providers and monitor uptime, but I do not offer a contractual uptime guarantee, and no small hosting arrangement honestly can. If the site goes down I am notified automatically and I fix it.

My total liability in connection with the work is limited to the fees you have paid me in the twelve months before the claim. I am not liable for lost profits, lost business or indirect losses. Nothing here limits liability that cannot be limited by law.

Governing law

These terms are governed by the laws of the United Arab Emirates, and the courts of Dubai have jurisdiction. If you are a consumer in your own country, this does not remove protections you have there that cannot be set aside by agreement.

Changes

If these terms change, the date at the top changes. For existing clients, the terms that applied when you signed up continue to apply until you are told otherwise with a month’s notice.
